Terms of service

These terms of service govern your use of agencyseo.com and the SEO retainer sold on it. The service is provided by the administrator of the agencyseo.com service ("we", "us"). By creating an account, running a full audit or buying a plan, you agree to these terms on behalf of yourself and the business you represent.

Acceptance of these terms

You may use the service only if you can form a binding contract and, when you act for a company, you are authorized to bind it. If you do not agree with these terms, do not use the service. Our privacy policy explains how we handle personal data and forms part of these terms.

The service is intended for businesses, not for consumers acting outside their trade or profession. Where mandatory consumer protection law applies to you anyway, nothing in these terms limits the rights it gives you.

The service we provide

AgencySEO is a monthly SEO retainer delivered through a client panel. Depending on the plan, it covers SEO strategy, technical SEO, content, editorial link building, local SEO, AI search visibility work, reporting and the other items listed for that plan.

The scope of each plan is the scope published on our pricing page at the time of purchase, or at the time of your latest upgrade. All communication, approvals and deliverables happen in writing in the panel. We do not hold calls or meetings as part of the service.

Accounts and workspaces

  • Workspace. A workspace represents one company. Each workspace can hold one active plan.
  • Seats and roles. Each plan includes a number of team seats. The workspace owner invites team members and assigns roles. The owner is responsible for what team members do in the workspace.
  • Accurate information. You agree to provide accurate account, company and billing information and to keep it up to date.
  • Security. Keep your password and verification codes confidential. Tell us at support@agencyseo.com without delay if you suspect unauthorized access to your account.
  • One person per seat. Seats are personal. Do not share one login among several people.

The free SEO audit

The free SEO audit is a one-time demonstration of our work, not a subscription plan.

  • Anyone can run a partial audit. Partial results are kept for 30 days at their private link.
  • Each account may run one full audit, ever. The full audit crawls up to 200 public pages.
  • We crawl only publicly available pages. You may audit a site only if you own it or are authorized to audit it, or if it is a competitor's public site you enter for comparison.
  • The full audit includes a downloadable PDF marked "Free audit, AgencySEO". You may use it inside your business.
  • The audit is provided as is, without warranty of any kind. It is a snapshot of public pages at one point in time and does not replace a full engagement.

Plans and billing

  • Currency. Prices are in US dollars (USD).
  • Billing periods. You can pay monthly or prepay a year. Annual prepay costs 20 percent less than twelve monthly payments.
  • Billing in advance. Each period is billed at its start. Your plan renews automatically at the end of each period until you cancel.
  • Taxes. Prices do not include taxes unless stated. Where we are required to collect sales tax, VAT or a similar tax, it is added at checkout.
  • Invoices. Every payment produces an invoice available in the panel under Billing.
  • Failed payments. If a payment fails, we notify you and retry. You can update your card in the panel. If the payment is still unpaid after a reasonable grace period, we may pause work on deliverables and later suspend the workspace until the balance is paid.
  • No setup fee. There is no setup fee and no separate purchase of add-ons. Everything is included in the monthly scope of your plan.

Changes to your plan

  • Upgrades take effect immediately. The prorated difference for the rest of the current period is charged at once, and the new scope starts the same day, once the payment succeeds. If it fails, you stay on your current plan.
  • Downgrades take effect from the next billing period. Until then you keep the scope of your current plan.
  • Monthly scope resets at the start of each billing period. Unused deliverables (pages, refreshes, links, fixes, AI visibility checks) do not roll over.
  • Usage is counted when used. Limits count what you use within the billing period. Deleting an item, a keyword or a request never returns a slot.

Cancellation

  • You can cancel at any time in the panel under Billing. No email or call is needed.
  • Cancellation takes effect at the end of the paid period. Until then, the scope of your plan continues and you keep full access to the panel.
  • Payments are not refunded for partial periods, except where the law requires a refund.
  • For annual prepay, cancellation stops the next renewal. Your scope continues until the end of the paid year.
  • Access you granted to your tools stays yours. You can revoke it in one click at any time, during or after the subscription.

Your responsibilities

SEO depends on cooperation. To get the scope you pay for, you agree to:

  • complete the brief and access handover in the panel, which takes about 10 minutes,
  • grant the access needed for the work (for example read-only Search Console and your analytics account, and CMS access if you want us to implement fixes) and keep it valid,
  • review and approve content and other items within a reasonable time,
  • implement our recommendations or allow us to implement them,
  • remain responsible for your own website, hosting, code and backups, and keep backups before giving CMS access,
  • make sure that claims on your site are accurate and lawful, especially in regulated industries such as health, finance and legal services, and review regulated content before you approve it.

Delays on your side do not extend the billing period. Monthly scope that cannot be delivered because of missing access or approvals does not roll over, although your strategist will always prepare what can be prepared in advance.

No ranking or traffic guarantees

Search engines such as Google and Bing, and AI answer engines and AI summaries in search results, are run by third parties. Nobody outside those companies controls their results, and their algorithms change without notice. We therefore do not guarantee any ranking, position, citation, amount of traffic, number of leads or revenue.

We commit to the scope of your plan, delivered each month and listed in the panel with its URL and status, and to transparent reporting.

Our methods

We follow the guidelines published by search engines. Links come from editorial outreach only: no private blog networks, no paid link farms and no link exchanges at scale. Every placed link is listed in the panel with its source URL, target URL and anchor. We may decline to use tactics that would put your site at risk, even if you request them.

Intellectual property

  • Your deliverables. Once the relevant period is paid, you own the content, pages and other deliverables we create for you, and you may use, edit and publish them without restriction.
  • Our know-how. We keep all rights to our methods, know-how, templates, checklists, tools and the panel itself. Nothing in these terms transfers them to you.
  • Reports and audits. Reports and audit documents are licensed to you for internal use within your business and for sharing with your advisers, agencies and investors.
  • Your materials. You keep all rights to the materials you give us (logos, product data, texts, images). You grant us a license to use them only to provide the service.

Acceptable use

You may not use the service to promote or support:

  • illegal products or services, or activities that are unlawful where you or your audience are located,
  • deceptive health, medical or financial claims, or misleading advertising,
  • spam, malware, phishing or any form of hacking, including crawling sites you are not authorized to test beyond public pages,
  • adult content or gambling in markets where it is unlawful,
  • content that infringes the intellectual property or privacy of others.

You may not resell the panel, scrape it, attempt to break its security or overload it. We may refuse or stop any work that we reasonably believe breaks these rules or the law, and we may refuse to accept a client at our discretion.

Confidentiality

Each party keeps confidential the non-public information it receives from the other, such as business plans, performance data, access credentials and pricing, and uses it only to perform these terms. This does not apply to information that is public, already known, independently developed or that must be disclosed by law. Confidentiality survives the end of the subscription.

Data protection

We process personal data as described in our privacy policy. Where we process personal data on your behalf, such as data in connected tools, we act as your processor. A data processing agreement is available for download in the panel on the Enterprise plan and on request at support@agencyseo.com on other plans. Security measures are described on our security page.

Third-party platforms

The service connects to platforms you choose, such as Google Search Console, your analytics account, Google Business Profile, WordPress, Webflow and Shopify. Your use of those platforms is governed by their own terms. We are not responsible for their availability, changes to their features or interfaces, or decisions they make about your accounts.

Limitation of liability

To the extent permitted by law:

  • our total liability arising out of or related to the service is limited to the fees you paid us in the 3 months before the event giving rise to the claim,
  • we are not liable for indirect, incidental, special or consequential damages, or for lost profits, lost revenue, lost data or loss of goodwill,
  • we are not liable for changes in rankings, traffic or citations caused by search engines, answer engines or other third parties.

These limits do not apply to liability that cannot be limited by law, such as liability for intent or gross negligence where applicable.

Indemnity

You agree to indemnify and hold us harmless from third-party claims arising from content or materials you supply, claims you approve and publish on your site, your breach of these terms or your violation of the law, including reasonable legal costs.

Suspension and termination

We may suspend access to the service if payment is overdue, if your account is used in breach of the acceptable use rules or if there is a security risk, and we will tell you why. We may terminate the contract for a material breach that is not remedied within 14 days of notice, or immediately for serious breaches such as illegal activity. You may terminate at any time by cancelling in the panel. After termination, the retention periods in our privacy policy apply.

Changes to these terms

We may update these terms. For material changes, we notify account holders in the panel or by email at least 30 days before they take effect. If you do not agree, you can cancel before the change takes effect. Continued use after that date means you accept the updated terms. Changes never reduce the scope of a period you have already paid for.

Governing law

These terms are governed by the laws applicable at the administrator's seat, without prejudice to the mandatory consumer protections of the country where you live, where those apply to you. Disputes are resolved by the courts competent under those laws. If any provision is found invalid, the rest of these terms remains in effect.
